2. Business Registration

The first step is choosing your business structure. Most gyms operate as a sole proprietorship, partnership, private limited company, or LLP.

Sole Proprietorship

Simplest structure. No formal registration required — just a current bank account and necessary tax registrations. Best for single-location gyms with low liability risk. Downside: unlimited personal liability. Cost: Minimal (₹2,000–5,000 for registrations). Time: 1-2 weeks.

Private Limited Company

Separate legal entity, limited liability, easier to raise investment. Required if you plan to franchise or open multiple locations. Cost: ₹15,000–30,000 for registration including DIN, DSC, and ROC filing. Time: 2-4 weeks. Annual compliance: ₹10,000–20,000 for filing.

Limited Liability Partnership (LLP)

3. GST Registration

Gym services fall under HSN code 9993 (Sporting Services). GST rate: 18% (9% CGST + 9% SGST). Membership fees, PT fees, and class fees all attract 18%. Personal training is also taxed at 18% as it's a bundled service.

4. Shops & Establishment Act Registration

This is the most fundamental operating license for any commercial establishment. Every state has its own version of the Act, but the requirements are similar across India.

Requirements

Registration must be obtained within 30 days of starting operations. Documents required: business address proof, owner identity proof, list of employees, and business registration certificate. Cost: ₹500–5,000 depending on the state and number of employees. Validity: typically 1-5 years, renewable. Display the certificate prominently at your gym premises.

5. Fire NOC

Fire safety is non-negotiable for gyms. Gyms with built-up area exceeding 300 sqm (approximately 3,200 sqft) or capacity exceeding 50 people require a fire NOC from the state fire department.

7. Music License

IPRS License
